I'm confused a bit, because I thought CW was end-of-lifed with the onset of the Intel Macs, and XCode ruled from now on. Steve would certainly have us think so. :-)

CodeWarrior can build CFM/PEF binaries which Xcode can't (and will never) do, and Xcode builds universal MachO (x86) binaries which CodeWarrior can't (and will never) do. So depending on your target(s) you may still need both. Keep in mind that Metrowerks sold their x86 compilers and baring an event akin to pigs flying this will be the last CW release, so take Apple's "move to Xcode" mantra to heart.
